Terms of Engagement.

A clear and binding framework governing your engagement with Aven Advisors and the FEQ Assessment platform.

TERMS OF SERVICE

These Terms of Service constitute a binding legal agreement between you (the “Client”) and Aven Advisors LLC (“Aven Advisors,” “we,” “us,” or “our”). They govern your access to and use of the Aven Advisors platform, advisory services, and the Family Enterprise Quotient (FEQ) Assessment in its entirety.

Please read these terms carefully before initiating an assessment or engaging our services. If you do not agree to be bound by these terms, you may not access or use the platform.

Acceptance of Terms

By accessing or using the Aven Advisors platform, including the Family Enterprise Quotient (FEQ) Assessment, you agree to be bound by these Terms of Service. If you are engaging on behalf of a business entity, you represent that you have the authority to bind that entity to these terms.

Aven Advisors reserves the right to amend these terms at any time. Material changes will be communicated to registered account holders. Continued use of the platform following notification constitutes acceptance of the revised terms.

Description of Services

Aven Advisors provides proprietary diagnostic and advisory services through the FEQ Assessment platform. The assessment evaluates organizational energy and structural discipline across family-owned and closely held enterprises, producing a scored diagnostic report and enterprise archetype classification.

Services are delivered in three phases: Quantitative Discovery (multi-stakeholder assessment collection), Synthesis & Mapping (baseline scoring and gap analysis), and the Strategic Blueprint (tailored governance roadmap). Scope, timing, and deliverables are governed by the applicable service agreement or purchase terms.

Account Access & Assessment Tokens

Access to the FEQ Assessment platform is granted through unique, time-limited tokens issued to authorized respondents and account owners. These tokens are non-transferable and may not be shared with unauthorized parties. Each token corresponds to a single respondent or access role.

Account holders are responsible for maintaining the confidentiality of their access credentials and for all activity that occurs under their account. Aven Advisors should be notified immediately of any unauthorized access or suspected compromise.

Intellectual Property

The FEQ framework, assessment methodology, diagnostic instruments, scoring algorithms, and all associated materials are the exclusive intellectual property of Aven Advisors. Nothing in these terms grants you any rights to reproduce, modify, distribute, or commercialize the FEQ methodology or any portion of the platform.

Diagnostic reports generated from your enterprise's assessment data are provided to you for internal strategic use only. You may share reports with your board, advisors, and stakeholders; however, public distribution or commercial use without written consent from Aven Advisors is prohibited.

Confidentiality

Aven Advisors treats all client engagements with strict confidentiality. We will not disclose the identity of your enterprise, the results of your assessment, or any associated communications to third parties without your written consent, except as required by law or court order.

You agree to treat as confidential any proprietary methodology, scoring criteria, or advisory recommendations provided by Aven Advisors that are not publicly available. This obligation survives the termination of your engagement.

Payment & Refunds

Assessment packages are charged at the rates published at the time of purchase. Payment is processed at the time of enrollment. All prices are stated in U.S. dollars and do not include applicable taxes, which are the responsibility of the purchaser.

Due to the proprietary nature of the FEQ Assessment and the resources committed at the time of enrollment, all sales are final. Exceptions may be granted in extraordinary circumstances at the sole discretion of Aven Advisors. Please contact us directly if you have concerns about your purchase.

Limitation of Liability

The FEQ Assessment is a strategic advisory tool. It is designed to identify patterns and provide a structured framework for reflection and governance planning. It does not constitute legal, financial, tax, or investment advice, and should not be relied upon as such.

To the maximum extent permitted by applicable law, Aven Advisors's total liability for any claims arising under these terms shall not exceed the fees paid by you in the twelve months preceding the claim. We are not liable for indirect, incidental, consequential, or punitive damages of any kind.

Governing Law

These Terms of Service are governed by and construed in accordance with the laws of the State of Delaware, without regard to its conflict of law principles. Any disputes arising hereunder shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association.

Nothing herein prevents either party from seeking injunctive or other equitable relief from a court of competent jurisdiction where necessary to protect proprietary information or prevent irreparable harm.
